Your Czech company, registered in the right order.
I look at your plans first and fix the order of the steps. You then get one list of the documents you need. A Czech notary draws up the notarial deed, the document that founds the company. A partner lawyer takes any legal question.

- You are a foreign founder, and the company has to fit around your residence permit
- Your company abroad is opening a Czech subsidiary or branch
- You are choosing between an s.r.o. (a limited liability company) and a trade licence (živnost), which registers a business in your own name

What you prepare
Some steps only you can take. Better to know them before you decide.
- Decide how the shares are split and who becomes executive director (jednatel), the person who manages the company
- Obtain your identity documents and a criminal record extract in your home country
- Attend the notary appointment in person, or sign a power of attorney
- Answer the bank yourself when it runs its own identity checks
Documents usually needed
- Passport of each founder and executive director
- Criminal record extract from the country of citizenship. One from the country of residence is often needed too
- Consent from the property owner to use the address as the registered office
- Declaration and specimen signature of the executive director
- Proof of qualification, if the trade needs one. A free trade does not
- Certified Czech translation of foreign documents, often with an apostille or legalisation

Step by step, in the order it happens.

Structure
I start from your plans, the ownership and where you will live. Once you agree the structure, you get it in writing.

Document list
Each document on your list shows who obtains it and by when. A short note says why the authority asks for it.

Notary and register
The notarial deed comes first. The register filing and the trade licence application follow. I keep checking the register until your company appears in it.
- 04
Address and bank
Your registered address and bank account come last. A tax adviser or accountant takes over the tax and social security registrations.

- A structure check against your plans. Sometimes an s.r.o. or a branch fits, and sometimes a trade licence is enough.
- One document list, built for your nationality and the country you live in now
- Booking the notary and filing with the Commercial Register (obchodní rejstřík), the public register of Czech companies
- The trade licence (živnostenské oprávnění) application
- A registered address for the company
- Arranging the bank account opening
- Handing the tax and social security registrations to a tax adviser or accountant
- A written summary of what you now have and what comes round every year
What I do not do myself
- Legal advice. I am not a lawyer, so legal questions go to a partner lawyer. A Czech notary draws up the notarial deed.
- Tax and accounting advice, or bookkeeping. A tax adviser or accountant handles these.
- Apostilles for foreign documents. The notary's fee and the registration costs are already in the formation price.
- A guarantee that a bank opens an account, or that an authority decides in a certain way or within a certain time
Questions about this service
Do I need to be in Czechia to set up the company?
Not for every step. The notarial deed usually needs you there in person, or a valid power of attorney. A bank may also want to meet the executive director. Before you book travel, I'll tell you which steps need you here.
Does a Czech company give me the right to live here?
No. Company formation and a residence permit are separate procedures, decided by different authorities, and their order matters. If you need both, I plan them together from the start.
Should I choose an s.r.o. or a trade licence?
It depends on your liability and on how you'll be paid. Plans to hire staff count, and so do the yearly filings. If a trade licence suits you better, I'll say so, even though it means less work for me.
