s.r.o. vs živnost: co se hodí pro váš záměr

This is the first fork in the road for most people setting up in Czechia, and it is worth spending an hour on rather than defaulting to whichever one someone mentioned first.

Živnost — the trade licence

You are the business. Setup is fast and cheap, administration is lighter, and for many freelancers the tax treatment is straightforward. The trade-offs are unlimited personal liability, a ceiling on how credible you look to larger corporate clients, and limits on how the activity can be sold or transferred.

s.r.o. — the limited company

A separate legal person. Liability is limited to the company, ownership can be split or sold, and larger clients and institutions treat it as a more serious counterparty. In exchange you take on double-entry bookkeeping, annual financial statements, and a formal relationship between you and the company for anything you take out of it.

Practical questions that usually decide it

• Who are your clients? Corporates and public bodies are often more comfortable contracting with an s.r.o.
• How much risk sits in the work itself?
• Will you have partners or investors, now or later?
• Do you need the activity to support a residence purpose?
• Are you willing to run proper double-entry accounting from month one?

Changing later

Moving from a trade licence to a company is normal and common. It is not free — contracts, invoicing, registrations and sometimes client onboarding all have to be redone — but it is not a mistake you cannot correct. Starting with an s.r.o. you do not need, and paying for accounting you do not use, is the more expensive error in the first year.
